3.0 REQUIREMENTS FOR COMMERCIAL PROPOSAL

3.1 COMMERCIAL PROPOSAL

The BIDDER’s commercial proposal shall contain duly completed of the following

A. Attachment 3A  Proposal Form

B. Attachment 3B: Unit Rates, Bid Prices & Delivery Duration

C.  Attachment 3D: Location Map of Palouge in Sudan

3.2 UNIT RATE and BID PRICE

BIDDER shall quote all inclusive, non-escalating Unit Rates
and Bid Prices for PIPE and up to completion of the WORK. 
All prices shall be in Euro currency.

BIDDER shall not include in its Unit Rates and Bid Prices,
and shall not be responsible for, expenses associated 
with local and foreign travel required by PDOC personnel for inspection or any other activities.

3.3 ESCALATION

The Unit Rates and Bid Prices quoted shall be firm and not subject 
to revision by reason of cost escalation or currency fluctuation.

3.4 UNIT RATE and BID PRICE INCLUSIONS

The Unit Rates and Bid Prices shall include everything
(except custom duties and import license fees on PIPE due to the government of the Republic of Sudan) 
required in order that when the WORK is completed, shall be
in accordance with the requirement of the CONTRACT. 

The Unit Rates and Bid Prices shall include transportation and unloading 
at SITE to be located at PDOC’s designated pipe stockpile at Palouge oilfield.
Palouge oilfield is located approximately 580km from Khartoum, 
the capital city of Republic of Sudan (please refer to Attachment 3D). SUPPLIER shall pay all costs,
expenses and other charges (except customs duties 
and import license fees on PIPE due to the government of the Republic of Sudan)
incurred in respect of importation of PIPE to the Republic of Sudan and all expenses
incurred in transportation, packaging, insurance, storage, 
handling and other related charges to perform the WORK.

The Unit Rates and Bid Prices shall include:

(a) overhead costs;

(b) material and services

(c) profits;

(d) insurance;

(e) taxes, other government charges, port charges and port dues
(excluding import duties and import permit fees on PIPE in the Republic of  Sudan);

(f)  internal financing costs; and

(g) all other direct and indirect costs of all kinds necessary to execute and complete the WORK.

3.5 UNIT RATES, BID PRICE & DELIVERY DURATION

BIDDER shall provide the Unit Rates, Bid Prices and Delivery to Site (in weeks)
from award of Contract for the Description and Estimated Quantities of Line Pipe specified in Attachment 3B. 

3.6 UNIT RATES, BID PRICE & DELIVERY DURATION ADJUSTMENT

PDOC may require adjustment of BIDDER’s proposal. Where such adjustments
would reasonably result in a variation of the Unit Rates and Bid Prices,
BIDDER shall submit under separate sealed cover, 
within seven (7) days of receipt by BIDDER of a request by PDOC for an adjustment,
the variation to the Unit Rates and Bid Prices arising from the adjustment to 
BIDDER’s Proposal. If a submission is not received within the seven (7) days period,
then the adjustment to the BIDDER’s Proposal shall be deemed not to cause
a variation in the Unit Rates and Bid Prices.

BIDDER shall state that Unit Rates and Bid Prices adjustments 
submitted after delivery of the Commercial Proposal shall form part 
of BIDDER’s Commercial Proposal, and that such adjustments shall not 
expire before the termination of the validity period of the Commercial Proposal.

3.7 QUANTITY ALLOWANCE

The final delivered quantity allowance of each size of line pipe shall be plus 
minus five percent (± 5 %) in total, and the DDU price shall be adjusted based 
on actually delivered length to be confirmed by the inspection certificate, pipe tally sheet, etc.

3.8 ALTERNATIVES

BIDDER shall also add attachments as appropriate to indicate the price addition 
or price reduction for Alternative Proposals it submits.

SUBJECT: SUPPLY, COATING AND DELIVERY OF LINE PIPE FOR MELUT
BASIN OIL DEVELOPMENT PROJECT YEAR 2012; TENDER NO: 1101028

1. Under and subject to the INVITATION TO BID for the supply, 
coating and delivery  of Line Pipes for Melut Basin Oil Development Project Year 2012
, the undersigned does hereby propose and offer to execute and perform the WORK to supply,
coat and deliver the Line pipes and everything of every kind respectively named, shown,
described or to be inferred thereto from the INVITATION TO BID,to be executed 
and supplied on the part of the SUPPLIER for the WORK described in conformity 
with the said requirements and under and subject to the said 
Conditions of Contract for the price included in the BIDDER’s Proposal.

2. We undertake, if our Proposal is accepted, to commence, complete, and deliver the WORK
for the fixed non-escalating Lump Sum BID PRICE, based upon the PIPE quantities 
and Delivery Schedule provided in Table 6 of Section 6.0, Scope of Work as follows:

a. Main Bid : EUR _______________________

b. Alternative Bid : EUR _______________________

Note: The above BID PRICE (S) exclude import duties and import permit fees due to the Government of Sudan.

3. We agree that the PIPE shall be delivered to SITE within the specified schedule 
included in Table 6 of Section 6.0 Scope of Work of the INVITATION TO BID.

4. We agree to abide by this proposal for a period of 90 days from the CLOSING DATE 
and it shall remain binding upon us and may be accepted at any time before the expiration of that period.

5. It is understood that you reserve the right to accept or to reject this Proposal of
the total quantity and that you may purchase part of the quantity offered. 

6. Unless and until a formal CONTRACT is prepared and executed, this Proposal 
together with your acceptance thereof, shall constitute a binding contract between us.
